Vellum

1. Who we are

Vellum is a product operated by Verifex ("we", "us", "our"). Vellum is a contract analysis tool that checks uploaded construction contracts against a library of compliance rules you define. By creating an account or using the service, you agree to these Terms.

2. Your account

You must provide a valid email address and a password to use Vellum. You are responsible for keeping your password secure. You are responsible for all activity that happens under your account.

You must be at least 18 years old and legally able to enter into a binding contract to use Vellum.

3. What Vellum is — and what it is not

Vellum uses automated analysis to flag clauses in contracts that may be inconsistent with the rules you configure. Vellum is not a law firm, does not provide legal advice, and its output is not a substitute for review by a qualified lawyer. You are responsible for any decision you make based on Vellum's output. If you need legal advice, consult a lawyer.

The service is provided "as is". Automated analysis can miss things, or flag things that are not actually problems. We do not guarantee that any scan is complete, accurate, or free of errors.

4. Your content

You retain all rights to the documents you upload. By uploading a document, you grant us a limited licence to process it for the purpose of producing an analysis for you. We do not use your documents to train models, and we do not share them with third parties except as required to operate the service (for example, our LLM provider, our hosting provider, and our email provider — all under contract).

You represent that you have the right to upload any document you upload, and that doing so does not violate any confidentiality obligation you owe to a third party.

5. Plans, billing, and refunds

Vellum offers paid subscription plans. Prices and plan features are shown on the pricing page and may change with reasonable notice. Subscriptions renew automatically unless cancelled.

Payments are processed by Stripe. You can cancel or change your plan at any time from the Account settings page. Refunds are governed by our Refund Policy.

6. Acceptable use

You agree not to:

• Upload documents you do not have the right to upload.
• Attempt to reverse-engineer, scrape, or overload the service.
• Use the service to break any law.
• Share your account credentials with people outside your organisation.
• Resell or redistribute Vellum's output as your own product.

We may suspend or terminate accounts that violate these rules.

7. Data retention and deletion

Documents and analyses you upload are retained until you delete them or delete your account. You can delete individual scans from the History page, or delete all your data from the Account settings page. Deleting your account removes your data and your login.

8. Availability

We aim to keep Vellum available at all times but we do not guarantee uptime. The service may be interrupted for maintenance, upgrades, or reasons outside our control. We are not liable for any loss caused by unavailability.

9. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to these Terms or the service is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect, incidental, or consequential damages.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a notice in the app. Continued use of Vellum after a change means you accept the new Terms.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute will be resolved in the courts located in Ontario.
